Entering the Swedish market
Entering a new market is a strategic decision. When expanding into Sweden, companies can operate in different ways depending on their business needs, timeframe, and level of commitment. Common setups include:
Hiring without establishing a legal entity
Companies can employ staff in Sweden without setting up a local entity, but this still triggers local tax and compliance obligations.
Key considerations include the risk of creating a permanent establishment, employer registrations, and individual tax residency.
Establishing a legal entity in Sweden
The two most common structures when establishing a presence are:
-
Swedish limited liability company (subsidiary): A separate legal entity, typically preferred for long-term operations, local hiring and growth
-
Swedish branch: An extension of the foreign parent company, often used for a more limited or initial presence
VAT representation and compliance
Some companies do not establish a local entity or hire employees but still have VAT obligations in Sweden.
In these cases, a VAT representative may be required to manage filings, reporting, and ongoing compliance.
